CANBURY & RIVERSIDE ASSOCIATION (CARA)

 

CONSTITUTION AS ESTABLISHED IN 8 JUNE 1990

(as amended by resolution in 1991, 1992, 1993, 1994, 2002, 2005 and 2006)

1.      THE CANBURY & RIVERSIDE ASSOCIATION IS A NON-POLITICAL ORGANISATION REPRESENTING RESIDENTS IN THE RIVERSIDE AREA OF NORTH KINGSTON UPON THAMES. The area is defined as being between Down Hall Road on the South, and the area enclosed on it’s Eastern border by Skerne Road, Lower Kings Road, Richmond Road up to the junction with Lower Ham Road adjacent to the Hawker Centre.

 2.      Its AIMS & OBJECTIVES are the protection and enhancement of amenities within the area for residents and users. 

3.       MEMBERSHIP OF CARA shall be open to all households and/or individual registered electors within the area. 

4.      THE BUSINESS OF THE ASSOCIATION shall be conducted by a Committee of up to 12 persons who shall be elected at the Annual General Meeting and drawn as widely as possible from the CARA area. The Committee shall have power to co-opt additional members with specialist knowledge if required. 

5.      THE COMMITTEE shall meet as often as may be deemed necessary, but it will endeavour to meet at least four times a year if possible. Five shall constitute a quorum. 

6.      THE ANNUAL GENERAL MEETING shall be held each September at a date to be decided. The entire Committee shall be subject to election by a show of hands. Written nominations for office must be received by the Chairman at least two week before the AGM and made generally available to all members with the AGM Agenda no less than one week before the meeting. 

7.       THE ACCOUNTING REFERENCE DATE will be deemed as being 31st AUGUST. 

8.       NOTICE OF RESOLUTIONS of matters to be raised at AGM must likewise be submitted to the Secretary two weeks in advance. Emergency motions may be accepted later at the Chairman's discretion. 

9.       Other GENERAL MEETINGS may be called when necessary. A SPECIAL GENERAL MEETING may be requisitioned on written request signed by 20 members. On receipt of such a request, the Chairman shall call such a meeting after a minimum three-week period and at the earliest practical opportunity at which a suitable hall becomes available. 

10.   THE ASSOCIATION shall be empowered to admit members of the public to the whole or part of general meetings. It shall be empowered to invite selected speakers to address meetings from the platform. 

11.   OFFICERS shall carry out their Association duties on a voluntary basis, but audited expenses incurred shall be reimbursed from Association funds. 

12.   THE COMMITTEE shall be empowered to make, at their discretion, small donations from the funds to local causes which meet the aims and objects of the Association. 

13.   CHANGES TO THE MEMBERSHIP SUBSCRIPTION shall be agreed at the Annual General Meeting. 

14.   MEMBERSHIP of the Association shall imply acceptance of its Rules.
